Terms & Conditions

1. The allocation of booths is based on a first-come, first-served basis and decided by the Committee.
2. Exhibitor booth booking is not transferable to any other exhibitor or vendor.
3. No booths are allowed in areas other than the designated exhibit hall for the exposition.
4. Each exhibitor is solely responsible for its exhibits, products, and their logistical arrangements.
5. The Committee reserves all rights to change the floor plan at any time if it is determined to be unavoidable based on changing circumstances before or during the Convention.
6. The Committee or the Convention Center is not responsible in any manner for any theft, loss, or damage of an exhibitor’s property. Insurance coverage may be obtained at the exhibitor’s sole expense. No insurance will be provided by the Committee or by the Convention Center.
7. Each exhibitor is responsible for obtaining the necessary business licenses, liability, and other insurance as well as collecting and paying all applicable taxes (local, state, federal) for any sale made during the Convention.
8. Exhibitors cannot sublease their rented booth. Booth dimensions should not be modified in any form and should not obstruct the view of other booths.
9. All transactions between the exhibitors and the Committee, or between the exhibitors and any other person, shall be in US Dollars ($). The setup of point-of-sale transactions for cash, credit/debit card, or any other monetary instrument is the exhibitor's responsibility.
10. Exhibitors shall bear full responsibility for all damage, loss, injury, and cost to the Convention Center’s property due to an exhibitor’s negligent or wrongful action.
11. Competitions and raffles are not allowed to be run and organized by exhibitors. Reasonable promotional giveaways are acceptable.
12. Exhibitors are not allowed to sell/display any products other than those mentioned in their respective applications.
13. Exhibitors are required to strictly abide by the safety and other regulations of the Convention Center. Accordingly, no open flames are allowed, and all exhibitors must adhere to the local fire department regulations, including ensuring that electrical wiring meets appropriate safety standards.
14. Exhibitors shall not sell any food or beverages at the Convention. All food and beverages to be sold in the Convention area shall be sold exclusively by the Committee or its designated vendors.
15. Sale or promotion of liquor, or any other prohibited or medically regulated substance, is strictly prohibited in the Convention Center.
16. Exhibitors shall first obtain written permission from the Convention Committee to offer gifts to Convention attendees and guests.
17. It shall be the sole responsibility of exhibitors and/or their sponsors to display their banner in a manner consistent with the specifications of the Committee and the Convention Center.
18. The Committee reserves the right to reject any exhibitor, or to discontinue an exhibitor’s exhibits, or to remove an exhibitor for any action judged to be disruptive or unacceptable at the sole and absolute discretion of the Committee. If an exhibitor is denied to continue exhibiting its products, or is otherwise removed from the Convention area, no money will be refunded.
19. The Committee will closely monitor and abide by any Department of Health guidelines for large public gatherings to ensure safety at the Convention. Every exhibitor shall then be required to promptly and scrupulously follow the Committee’s instructions in this regard.
20. All sales are final. All purchases are non-refundable and non-transferable except if the Convention is cancelled as provided due to any force majeure event, such as war, terrorism, civil unrest, flood, earthquake, other natural calamity, epidemic, government order, including any federal, state, or local Department of Health mandates.
21. If any term herein is deemed by a competent judicial authority to be unlawful, invalid, or unenforceable, then such term shall be excised, and the other terms herein shall continue to be valid and effective.
22. These terms and conditions are the only terms between the Committee and exhibitors concerning the exposition at the Convention. All prior or contemporaneous representations by the Committee, oral or written, are hereby superseded and nullified.
23. Failure to enforce a right shall not be deemed to be a continuing waiver of that right, or a waiver of any other right.
24. These terms and conditions are subject to change without notice by the Committee to deal with evolving developments on the ground before and during the Convention. The Committee shall provide exhibitors with as much advance notice as possible of any change. Further, these terms cannot be modified except by the Committee and then solely in writing.
25. The law governing these terms and conditions shall be the laws of the State of California, USA, without reference to any conflict of law provisions. The venue of any legal action shall be Santa Clara County, California, USA.
26. All disputes shall be subject to binding arbitration without a jury trial under the rules and auspices of Judicial Arbitration and Mediations Services (“JAMS”), by a single arbitrator. The English language shall govern this contract, and the award shall be in writing and based on legal doctrines and legal reasoning. The prevailing party shall be entitled to reasonable attorneys’ fees, costs, and such other relief as may be awarded.
27. The Committee’s decision will be final with regard to any and all issues concerning the exposition, exhibitor, booth registration, all matters mentioned above, and any other arrangements relating to the exposition area.
